流动保安编码之条款及条件
登记使用安捷证券有限公司（「AJS」或「本公司」）的流动保安编码之前，请阁下细阅及明白本条款及条件。如阁下不接受本条款及条件，请勿登记使用流动保安编码。
本条款及条件适用于流动保安编码之应用，并与下列各项同为有效:
适用于阁下使用安捷证券或安捷证券其他联属公司（如适用）提供的电子交易平台可取得的帐户或服务的条款及条件﹔及
在安捷证券维持证券交易帐户的条款及条件（「证券交易帐户条款及条件」）;及
可能通知阁下的任何其他条款。
1. 流动保安编码应用程式
1.1 阁下使用安捷证券的电子交易平台时，流动保安编码是核实阁下身份的另一方式。阁下可透过完成本公司或流动保安编码指定的步骤于兼容相关功能的装置上登记并激活流动保安编码。成功登记后，阁下可使用密码或个人身份识别码透过此程式取得一次性的保安编码作为双重认证以登录安捷证券所提供的电子交易服务平台。
1.2 本公司提供及阁下使用流动保安编码均受限于本条款及条件。阁下登记使用流动保安编码，即被视为已接受本条款及条件并受其约束。如阁下不接受本条款及条件，请勿登记使用流动保安编码。
1.3 阁下可随时根据本公司或流动保安编码指定的步骤取消流动保安编码。一经取消，阁下仍可继续以本公司提供的其他双重认证登录方式登录安捷证券提供的电子交易服务平台或重新登记流动保安编码。
1.4 本公司或于定时透过应用程式商店发送应用程式之更新。某些设备会取决于手动设定而进行自动更新。否则，阁下将须自行下载更新。
1.5 本公司有权不时指定或更改流动保安编码的范围及特点，而无须事先通知。
2. 阁下的确认及责任
2.1 阁下须遵守所有规管阁下的下载、进入与使用电子交易平台及流动保安编码的适用法例及规章。
2.2 阁下应采取所有合理保安措施，防止流动保安编码和安全资讯遭未经授权使用或用作欺诈用途，包括以下措施：
(a) 阁下应采取合理预防措施，妥善保管阁下的电子装置、适用于安捷证券电子交易平台的用户名称与密码及流动保安编码的密码/个人身份识别码，以免遗失或被用作欺诈用途。阁下应遵守本公司不时提供的保安建议；
(b) 阁下不得在电子装置或操作系统供应商支援或保修的配置范围以外，经修改的流动装置或操作系统上使用应用程式或流动保安编码。该等装置包括软件保护被破解（jailbroken）或已开放根目录权限（rooted）的装置。「jailbroken」或「rooted」的装置是指未经流动服务供应商、网络营运商及/或电话制造商批准而自行解除其所设限制的装置。在 jailbroken 或 rooted 装置上使用电子交易平台或流动保安编码，可能会令保安受损及导致欺诈交易。如在jailbroken或rooted装置下载及使用电子交易平台或流动保安编码，阁下须承担所有风险，本公司不会对阁下因此蒙受或招致的任何损失或任何其他后果负责；
(c) 如阁下知悉或怀疑阁下的电子装置或适用于安捷证券电子交易平台的用户名称与密码或流动保安编码的密码/个人身份识别码遭未经授权使用于流动保安编码，阁下应尽快于办公时间内联络本公司的客户服务热线(852)3891 5026/40012 09069(免费)通知本公司。本公司有可能要求阁下更改阁下的电子交易用户名称、密码及/或重新登记流动保安编码。
2.3 在阁下登录电子交易平台至退出电子交易平台期间，阁下或按阁下授权行事的人士所发出的所有指示，均须由阁下自行负责。
2.4 阁下承诺弥偿本公司、其高级人员、雇员及代理因阁下使用或未有合理使用流动保安编码或违反本条款及条件中阁下向本公司所作出的确认及责任，而直接或间接地产生或与之有关的损失。
3. 本公司责任的限制
3.1 流动保安编码是以「按现状」（as is）及「按现有可予提供」（as available）的基础下提供。本公司并不就流动保安编码的功能性作出任何陈述、保证或协议。本公司不保证流动保安编码在所有时候均可供使用，或可与任何电子设备、软件、系统或本公司不时提供的其他安捷证券电子交易平台一并使用。
3.2 就阁下使用或无法使用流动保安编码而令阁下招致或蒙受或与之有关的任何种类的损失、损害或开支，本公司（包括其董事、雇员、代理）概不负责，除非此等情况纯粹及直接由本公司或本公司职员或代理的疏忽或故意失责所引致。
3.3 在任何情况下，就任何间接、特殊、附带、相应、惩罚性或惩戒性的损失或损害，本公司（包括其董事、雇员、代理）概不负责，包括利润损失、业务中断引致之损失，或阁下的认可流动装置内损失任何程式、资料或数据。
4. 修改、暂停及终止流动保安编码
如本公司合理地认为需要或适宜，本公司有权随时修改、暂停或终止流动保安编码或阁下对该项/该等功能的使用，而无须给予事先通知或原因。此等情况可包括实际或怀疑出现违反保安的情况。如阁下暂停或终止使用流动保安编码，阁下则须使用本公司提供的其他双重认证登录方式登录安捷证券的电子交易平台。
5. 修订本条款及条件
本公司有权不时修订本条款及条件。本公司会按其认为合适的方式向阁下发出事先通知，包括但不限于以展示或广告形式，或以邮寄或电邮方式发送至阁下于本公司记录之通讯地址或电邮地址。如在本条款及条件修订生效日期前，本公司并无收到阁下通知终止电子交易平台及/或流动保安编码，阁下将需受到经修订的条款及条件之约束。
6. 管辖法律
本条款及条件受香港法律管辖并按此诠释。阁下接受香港法院之非专属司法管辖权管辖，但本条款及条件可由任何具司法管辖权之法院强制执行。
7. 其他事项
7.1 本条款及条件的各项条文均可与其余条文分割。若在任何时间任何条文按香港法律或其他司法管辖区的法律在任何方面属或变成不合法、无效或不可强制执行，不会对其余条文的合法性、有效性或可强制执行性构成任何影响。
7.2 本公司可出让或转让本条款及条件下本公司的所有或任何权利和责任予安捷证券有限公司任何成员，而无须阁下事先同意。
7.3 以下为本流动保安编码之开发商「Ayers Solutions Limited艾雅斯资讯科技有限公司」（「艾雅斯」）的相关声明：-
本流动保安编码仅供安捷证券客户用作登入时所需之双重认证。
艾雅斯并不会储存使用本流动保安编码之客户的指纹信息或任何储存于该客户已注册之手提流动装置内的信息。
艾雅斯不会承担因使用本流动保安编码程式而导致的任何直接或间接损失/损害，包括但不限于不当使用注册的手提流动装置、盗用、密码泄漏或黑客入侵等。
7.4 本条款及细则之中英文版本文义如有歧义，概以英文版本为准。
流動保安編碼之條款及條件
登記使用安捷證券有限公司（「安捷證券」或「本公司」）的流動保安編碼之前，請閣下細閱及明白本條款及條件。如閣下不接受本條款及條件，請勿登記使用流動保安編碼。
本條款及條件適用於流動保安編碼之應用，並與下列各項同為有效:
適用於閣下使用安捷证券或安捷证券其他聯屬公司（如適用）提供的電子交易平台可取得的帳戶或服務的條款及條件﹔及
在安捷证券維持證券交易帳戶的條款及條件（「證券交易帳戶條款及條件」）;及
可能通知閣下的任何其他條款及條件。
1. 流動保安編碼應用程式
1.1 閣下使用安捷证券的電子交易平台時，流動保安編碼是核實閣下身份的另一方式。閣下可透過完成本公司或流動保安編碼指定的步驟於兼容相關功能的裝置上登記並激活流動保安編碼。成功登記後，閣下可使用密碼或個人身份識別碼透過此程式取得一次性的保安編碼作為雙重認證以登錄安捷證券所提供的電子交易服務平台。
1.2 本公司提供及閣下使用流動保安編碼均受限於本條款及條件。閣下登記使用流動保安編碼，即被視為已接受本條款及條件並受其約束。如閣下不接受本條款及條件，請勿登記使用流動保安編碼。
1.3 閣下可隨時根據本公司或流動保安編碼指定的步驟取消流動保安編碼。一經取消，閣下仍可繼續以本公司提供的其他雙重認證登錄方式登錄安捷證券提供的電子交易服務平台或重新登記流動保安編碼。
1.4 本公司或於定時透過應用程式商店發送應用程式之更新。某些設備會取決於手動設定而進行自動更新。否則，閣下將須自行下載更新。
1.5 本公司有權不時指定或更改流動保安編碼的範圍及特點，而無須事先通知。
2. 閣下的確認及責任
2.1 閣下須遵守所有規管閣下的下載、進入與使用電子交易平台及流動保安編碼的適用法例及規章。
2.2 閣下應採取所有合理保安措施，防止流動保安編碼和安全資訊遭未經授權使用或用作欺詐用途，包括以下措施：
(a) 閣下應採取合理預防措施，妥善保管閣下的電子裝置、適用於安捷證券電子交易平台的用戶名稱與密碼及流動保安編碼的密碼/個人身份識別碼，以免遺失或被用作欺詐用途。閣下應遵守本公司不時提供的保安建議；
(b) 閣下不得在電子裝置或操作系統供應商支援或保修的配置範圍以外，經修改的流動裝置或操作系統上使用應用程式或流動保安編碼。該等裝置包括軟件保護被破解（jailbroken）或已開放根目錄權限（rooted）的裝置。 「jailbroken」或「rooted」的裝置是指未經流動服務供應商、網絡營運商及/或電話製造商批准而自行解除其所設限制的裝置。在 jailbroken 或 rooted 裝置上使用電子交易平台或流動保安編碼，可能會令保安受損及導致欺詐交易。 如在jailbroken或rooted裝置下載及使用電子交易平台或流動保安編碼，閣下須承擔所有風險，本公司不會對閣下因此蒙受或招致的任何損失或任何其他後果負責；
(c) 如閣下知悉或懷疑閣下的電子裝置或適用於安捷证券電子交易平台的用戶名稱與密碼或流動保安編碼的密碼/個人身份識別碼遭未經授權使用於流動保安編碼，閣下應盡快於辦公時間內聯絡本公司的客戶服務熱線(852)3891
5026/40012 09069(免費)通知本公司。本公司有可能要求閣下更改閣下的電子交易用戶名稱、密碼及/或重新登記流動保安編碼。
2.3 在閣下登錄電子交易平台至退出電子交易平台期間，閣下或按閣下授權行事的人士所發出的所有指示，均須由閣下自行負責。
2.4 閣下承諾彌償本公司、其高級人員、僱員及代理因閣下使用或未有合理使用流動保安編碼或違反本條款及條件中閣下向本公司所作出的確認及責任，而直接或間接地產生或與之有關的損失。
3. 本公司責任的限制
3.1 流動保安編碼是以「按現狀」（as is）及「按現有可予提供」（as available）的基礎下提供。本公司並不就流動保安編碼的功能性作出任何陳述、保證或協議。本公司不保證流動保安編碼在所有時候均可供使用，或可與任何電子設備、軟件、系統或本公司不時提供的其他安捷證券電子交易平台一併使用。
3.2 就閣下使用或無法使用流動保安編碼而令閣下招致或蒙受或與之有關的任何種類的損失、損害或開支，本公司（包括其董事、僱員、代理）概不負責，除非此等情況純粹及直接由本公司或本公司職員或代理的疏忽或故意失責所引致。
3.3 在任何情況下，就任何間接、特殊、附帶、相應、懲罰性或懲戒性的損失或損害，本公司（包括其董事、僱員、代理）概不負責，包括利潤損失、業務中斷引致之損失，或閣下的認可流動裝置内損失任何程式、資料或數據。
4. 修改、暫停及終止流動保安編碼
如本公司合理地認為需要或適宜，本公司有權隨時修改、暫停或終止流動保安編碼或閣下對該項/該等功能的使用，而無須給予事先通知或原因。此等情況可包括實際或懷疑出現違反保安的情況。如閣下被暫停或終止使用流動保安編碼，閣下則須使用本公司提供的其他雙重認證登錄方式登錄安捷證券的電子交易平台。
5. 修訂本條款及條件
本公司有權不時修訂本條款及條件。本公司會按其認為合適的方式向閣下發出事先通知，包括但不限於以展示或廣告形式，或以郵寄或電郵方式發送至閣下於本公司記錄之通訊地址或電郵地址。如在本條款及條件修訂生效日期前，本公司並無收到閣下通知終止電子交易平台及/或流動保安編碼，閣下將需受到經修訂的條款及條件之約束。
6. 管轄法律
本條款及條件受香港法律管轄並按此詮釋。閣下接受香港法院之非專屬司法管轄權管轄，但本條款及條件可由任何具司法管轄權之法院强制執行。
7. 其他事項
7.1 本條款及條件的各項條文均可與其餘條文分割。若在任何時間任何條文按香港法律或其他司法管轄區的法律在任何方面屬或變成不合法、無效或不可强制執行，不會對其餘條文的合法性、有效性或可强制執行性構成任何影響。
7.2 本公司可出讓或轉讓本條款及條件下本公司的所有或任何權利和責任予安捷證券有限公司之任何成員，而無須閣下事先同意。
7.3 以下為本流動保安編碼之開發商「Ayers Solutions Limited艾雅斯資訊科技有限公司」（「艾雅斯」）的相關聲明：-
本流動保安編碼僅供安捷證券客戶用作登入時所需之雙重認證。
艾雅斯並不會儲存使用本流動保安編碼之客戶的指紋信息或任何儲存於該客戶已註冊之手提流動裝置內的信息。
艾雅斯不會承擔因使用本流動保安編碼程式而導致的任何直接或間接損失/損害，包括但不限於不當使用註冊的手提流動裝置、盜用、密碼洩漏或黑客入侵等。
7.4 本條款及條件之中英文版本文義如有歧義，概以英文版本為準。
Terms and conditions for Mobile Security Key
Before registering for the Mobile Security Key for
electronic trading services of AJ Securities Limited (“AJ Securities Limited” or “We”), please read and
understand the following Terms and Conditions. If you do not accept these Terms
and Conditions, please do not register for the Mobile Security Key.
These Terms and Conditions apply to the Mobile
Security Key together with:
The terms and conditions that apply to any account
or service you can access using the electronic trading systems provided by AJ
Securities Limited or associated
entities of AJ Securities Limited (if
applicable); and
Our terms and conditions for maintaining a
securities trading account at AJ Securities Limited (“Terms and Conditions of
securities trading accounts”); and
Any other terms and conditions that we may notify
you.
1. Mobile Security Key App
1.1 Mobile Security Key provides an alternative
means of verifying your identity for accessing the AJ Securities Limited Electronic Trading services via
the App. You may register the Mobile Security Key on your Permitted Mobile
Device by completing the steps specified by us. Once successfully registered,
you have to use the password associated with the Mobile Security Key to
generate a one-time Security Code as a second verification for accessing the AJ
Securities Limited Electronic
Trading services via the App.
1.2 Our provision and your use of Mobile Security
Key are subject to these Terms and Conditions. Once you register for Mobile
Security Key, you will be regarded as having accepted and will be bound by
these Terms and Conditions. If you do not accept these Terms and Conditions,
please do not register for Mobile Security Key.
1.3 You may deactivate Mobile Security Key at any
time by completing the steps specified by us. Once deactivated, you may
continue to access the AJ Securities
Limited Electronic Trading services via the App by using your other
Two-factor Authentication method provided by us or re-register for Mobile
Security Key.
1.4 Updates to the Mobile Security Key App may be
issued periodically through the supplying app store. For some devices, updates
will be downloaded automatically. If this does not happen, you will need to
download the update yourself.
1.5 We have the right to specify or vary from time
to time the scope and features of Mobile Security Key without prior notice.
2. Your confirmation and responsibility
2.1 You must comply with all applicable laws and
regulations that govern your download, access and use of the Electronic Trading
services and Mobile Security Key.
2.2 You should take all reasonable security
measures to prevent unauthorized or fraudulent use of Mobile Security Key,
including the following measures:
(a) You should take reasonable precautions to keep
safe and prevent loss or fraudulent use of your Permitted Mobile Device, AJ
Securities Limited Electronic
Trading username and password, and the Mobile Security Key password. You should
observe the security recommendations provided by us from time to time about the
use of Mobile Security Key;
(b) You must not use the App or Mobile Security Key
on any mobile device or operating system that has been modified outside the
mobile device or operating system vendor supported or warranted configurations.
This includes devices that have been "jail-broken" or
"rooted". A jail-broken or rooted device means one that has been
freed from the limitations imposed on it by your mobile service provider and the
phone manufacturer without their approval. The use of the App or Mobile
Security Key on a jail-broken or rooted device may compromise security and lead
to fraudulent transactions. Download and use of the Electronic Trading services
or Mobile Security Key in a jail-broken or rooted device is entirely at your
own risk and we will not be liable for any losses or any other consequences
suffered or incurred by you as a result;
(c) If you are aware of or suspect any unauthorized
use of your Permitted Mobile Device or AJ Securities Limited Electronic Trading username and
password or Mobile Security Key password for effecting Mobile Security Key, you
should notify us as soon as reasonably practicable by calling our Customer
Service Hotline at (852)3891 5026/40012 09069(Toll-Free) during office hours.
We may require you to change your AJ Securities Limited Electronic Trading username and
password and/or re-register the Mobile Security Key.
2.3 All instructions received by us with your
identity verified through the Mobile Security Key shall be binding on you. You
are liable for such instructions and all resulting transactions in accordance
with the provisions of the Terms and Conditions of securities trading accounts
2.4 You promise to indemnify us, our senior staff,
employees and agents for any loss or damage incurred which is directly or
indirectly resulted from your improper or unreasonable use of the Mobile
Security Device or your breach of the section “Your confirmation and
responsibility” in this Terms and Conditions.
3. Limitation of our liability
3.1 Mobile Security Key is provided on an "as
is" and "as available" basis. We do not warrant that Mobile
Security Key will be available at all times, or that it will function with any
electronic equipment, software, system or other AJ Securities Limited Electronic Trading services that
we may offer from time to time.
3.2 We (including our directors, employees and
agents) are not liable for any loss, damages or expenses of any kind incurred
or suffered by you arising from or in connection with your use of or inability
to use Mobile Security Key unless it is caused solely and directly by the
negligence or willful default on our part or on the part of our employees or
agents.
3.3 Under no circumstances are we (including our
directors, employees and agents) liable for any indirect, special, incidental,
consequential, punitive or exemplary loss or damages, including loss of
profits, loss due to business interruption or loss of any programme or data in
your Permitted Mobile Device.
4. Modification, suspension and termination of
Mobile Security Key
We have the right to modify, suspend or terminate
Mobile Security Key or its/their use by you at any time without giving prior
notice or reason where we reasonably consider necessary or advisable to do so.
These cases may include actual or suspected breach of security. If your Mobile
Security Key is terminated or suspended, you will need to apply for other
Two-factor Authentication method provided by us for accessing AJ
Securities Limited Electronic Trading
services.
5. Revision of these Terms and Conditions
We have the right to revise these Terms and
Conditions and/or introduce additional terms and conditions (including fees and
charges) from time to time by giving prior notice. We may give notice by display,
advertisement, or by sending physical or email notification to your
corresponding address according to our records, or other means as we consider
appropriate. You will be bound by any variation if you continue to use the
Electronic Trading services and/or Mobile Security Key on or after the
effective date of the variation.
6. Governing law
These Terms and Conditions shall be governed by and
construed in accordance with Hong Kong law. You submit to the non-exclusive
jurisdiction of the Hong Kong courts but these Terms and Conditions may be
enforced in the courts of any competent jurisdiction.
7. Miscellaneous
7.1 Each provision of these Terms and Conditions is
severable from the others. If at any time any provision is or becomes illegal,
invalid or unenforceable in any respect under Hong Kong law or the laws of any
other jurisdiction, the legality, validity or enforceability of the remaining
provisions shall not be affected in any way.
7.2 We may assign or transfer all or any of our
rights and obligations under these Terms and Conditions to any member of the AJ
Securities Limited without your prior consent.
7.3 Ayers Solutions Limited (“Ayers”), the vendor
of the Mobile Security Key hereby declares as follows:
This Mobile Security Key is only used for
conducting Two-factor Authentication for clients of AJ Securities Limited during system login.
Ayers will not save the fingerprint information and
any information which is saved in the users’ registered mobile device.
Ayers shall not be liable for any direct or
indirect loss or damages arising out of using the Mobile Security Key,
including but not limited to using the registered mobile device improperly,
password being abused, compromised or invaded by hacker.
7.4 The English version of these Terms and Conditions
shall prevail wherever there is any inconsistency between the English and the
Chinese versions.
